Terms and Conditions for Accounting, Taxation, and Bookkeeping Services
These terms and conditions (“Terms”) govern the use of the accounting, taxation, and bookkeeping services (“Services”) provided by Stiplify LLP, Ontario, Canada through the website stiplifybooks.ca, to clients based in Canada. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our Services.
1. Scope of Services:
1.1. Accounting Services: We offer a range of accounting services including but not limited to financial statement preparation, general ledger maintenance, and accounts payable/receivable management.
1.2. Taxation Services: Our taxation services encompass tax planning, preparation of tax returns, and assistance with tax compliance matters.
1.3. Bookkeeping Services: We provide bookkeeping services such as data entry, reconciliation of accounts, and financial reporting.
2. Client Obligations:
2.1. Accuracy of Information: You agree to provide accurate and complete information necessary for us to perform the Services. Any inaccurate or incomplete information may affect the quality of our services.
2.2. Compliance: You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations in Canada.
3. Fees and Payments:
3.1. Payment: You agree to pay the fees for the Services as outlined in the service agreement or as communicated to you. Payments shall be made in the currency specified by us and are due upon receipt of invoice unless otherwise agreed upon.

4.2. Maximum Liability: Our total liability for any claims arising out of or related to the Services shall not exceed the total fees paid by you to us for the Services rendered in the six (6) months preceding the claim.

Indemnity: You agree to indemnify and hold harmless Stiplify LLP, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or any breach of these Terms.

6.1. Confidential Information: Both parties agree to maintain the confidentiality of any information exchanged during the provision of the Services, including but not limited to financial records, business plans, and personal information.
6.2. Exceptions: Confidential information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the disclosing party’s confidential information; or (d) is rightfully obtained by the receiving party from a third party without restriction on use or disclosure.

7.1. 8. Termination
8.1. Termination by Either Party: Either party may terminate these Terms and any service agreement upon written notice to the other party. Upon termination, you shall pay for any Services rendered prior to the termination date.
9. Governing Law and Dispute Resolution:
9.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
9.2. Dispute Resolution: Any dispute arising out of or related to these Terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved amicably, it shall be submitted to arbitration in accordance with Canadian laws.
